1. Agreement to Terms

By accessing our website and purchasing our digital products, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services or purchase our products.

2. Digital Products

2.1 Product Delivery

All products offered by Nicaelle Business Management Services are digital products (including but not limited to workshops, courses, templates, guides, and worksheets). Products will be delivered electronically via email or through a designated member area within 24 hours of purchase confirmation.

2.2 Access

You will receive access credentials or download links upon successful payment. It is your responsibility to maintain the confidentiality of your access credentials.

2.3 License

Upon purchase, you are granted a non-exclusive, non-transferable license to use the digital products for personal or business use only. You may not:

Resell, redistribute, or share the products with others
Claim ownership or authorship of the materials
Use the products to create competing products or services
Share your access credentials with unauthorized users

3. Services (Paid Consult)

This section applies to any paid consulting call, diagnostic call, workshop, or other service delivered live (collectively, “Services”).

3.1 Booking and Delivery

After purchase, you will receive instructions to schedule your session. Sessions are delivered online unless otherwise stated.

3.2 Rescheduling

You may reschedule once at no cost if you request it at least 24 hours before the scheduled start time. Rescheduling requests made within 24 hours may be treated as a no-show.

3.3 Cancellations

You may cancel at least 2 hours before the scheduled start time for a refund of the amount paid, less any payment processing fees that are non-refundable to us. Cancellations within 2 hours are not refundable.

3.4 No-shows and Late Arrival

If you do not attend the session within 15 minutes of the scheduled start time, it will be considered a no-show and will be non-refundable.

If you arrive late, the session will still end at the originally scheduled end time.

3.5 Scope and Boundaries

Services provide guidance and recommendations, not guaranteed outcomes. Unless explicitly included in the offer, Services do not include ongoing support, implementation, or custom work beyond the session.

4. Pricing and Payment

4.1 Pricing

All prices are listed in Philippine Peso (PHP) unless otherwise stated. We reserve the right to change prices at any time without prior notice.

4.2 Payment Methods

We currently accept payment via PayPal and Xendit. Other payment methods may be added from time to time.

Payment must be received in full before access to digital products is granted or before services are scheduled/delivered.

4.3 Taxes

Prices do not include applicable taxes unless explicitly stated. You are responsible for any taxes applicable to your purchase.

5. Intellectual Property

All content, materials, and intellectual property contained in our digital products remain the exclusive property of Built to Scale. This includes but is not limited to:

Text, graphics, logos, and images
Worksheets, templates, and frameworks
Video and audio content
Course materials and training content

6. User Obligations

You agree to:

Provide accurate and complete information when making a purchase
Use the products only for lawful purposes
Not attempt to reverse engineer, decompile, or extract source code from our digital products
Respect intellectual property rights

7. Prohibited Uses

You may not use our products to:

Violate any applicable laws or regulations
Infringe upon the rights of others
Transmit harmful or malicious code
Create derivative works for commercial purposes

8. Disclaimers

8.1 Results

While we strive to provide high-quality digital products, we cannot guarantee specific results. Your success depends on various factors including your effort, commitment, and circumstances.

8.2 No Warranty

Our digital products are provided "as is" without warranties of any kind, either express or implied. We do not warrant that the products will meet your specific requirements or that they will be error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Nicaelle Business Management Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our digital products.

10. Termination

We reserve the right to terminate or suspend your access to our digital products immediately, without prior notice, for any breach of these Terms and Conditions.

11. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our products after changes constitutes acceptance of the modified terms.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
